Terms & Conditions
The terms governing participation in the Brills Affiliate programme, including partner responsibilities, tracking, commercial arrangements and permitted promotional activity.

AFFILIATE AGREEMENT
A Clear Framework for Working Together
These Terms & Conditions apply to participation in the Brills Affiliate programme and form part of the agreement between Brills Affiliate and each approved affiliate partner.
Account-specific commercial terms, campaign rules or separately executed agreements may supplement these Terms. Where a written agreement expressly provides different terms, that agreement will apply to the extent of the relevant inconsistency.

Agreement & Acceptance
By registering for, accessing or participating in the Brills Affiliate programme, you confirm that you have read and understood these Terms & Conditions and agree to comply with them.
For the purposes of these Terms, “Brills Affiliate”, “we”, “us” or “our” refers to the operator of the Brills Affiliate programme identified in the applicable onboarding documentation or partnership agreement. “Affiliate”, “you” or “your” means the individual or organisation approved to participate in the programme.
You must provide accurate registration and account information and keep that information reasonably up to date throughout the relationship.

Definitions
The following expressions are used throughout these Terms:
- Affiliate Account means the account made available to an approved Affiliate for accessing programme information, reporting or campaign resources.
- Affiliate Link means a tracking-enabled link, code or other identifier provided or approved for attributing eligible activity to an Affiliate.
- Campaign means an approved promotional arrangement made available through the programme.
- Commission means the amount payable to an Affiliate in accordance with an approved commercial model and the applicable campaign terms.
- CPA means a commercial model under which Commission may become payable when specified qualifying acquisition requirements are satisfied.
- Revenue Share means a commercial model under which Commission is calculated by reference to eligible revenue under the agreed campaign terms.
- Hybrid means a commercial arrangement combining elements of more than one Commission model.
- Referred Customer means a user attributed to the Affiliate through valid tracking and satisfying the applicable campaign criteria.
- Promotional Materials means approved banners, text links, landing pages, brand assets or other campaign resources.
- Territory means a country, region or market approved for a particular Campaign.

Affiliate Programme
Brills Affiliate may make one or more Campaigns and commercial models available to approved Affiliates. Availability can depend on traffic source, Territory, audience, compliance requirements and other campaign criteria.
CPA, Revenue Share, Hybrid or other commercial arrangements may be agreed between the parties. The applicable rates, qualification requirements and other financial conditions will be those communicated for the relevant Affiliate Account or confirmed separately in writing.
Nothing on the public website should be interpreted as guaranteeing the availability of a particular Campaign, Commission rate, conversion level, revenue amount or commercial arrangement.

Affiliate Responsibilities
The Affiliate agrees to conduct promotional activity professionally, lawfully and in good faith.
- Use only traffic sources and promotional methods disclosed or otherwise approved for the partnership.
- Provide accurate information regarding websites, applications, media properties and other acquisition channels used for promotion.
- Follow all Campaign-specific restrictions and Territory requirements communicated by Brills Affiliate.
- Ensure that contractors, agencies or other persons acting on the Affiliate’s behalf also comply with applicable requirements.
- Maintain adequate control over Affiliate Links and Promotional Materials made available through the Affiliate Account.
- Promptly inform Brills Affiliate of any material change to traffic source, ownership, business structure or promotional methods where that change may affect the partnership.

Marketing Standards & Prohibited Activity
Affiliate promotions must comply with applicable advertising, consumer protection, privacy and gambling-related rules in each Territory being targeted.
The Affiliate must not knowingly engage in or facilitate:
- False, misleading, deceptive or materially incomplete advertising.
- Promotion directed at persons below the applicable legal gambling age.
- Spam, unsolicited communications or communications sent without any consent required by law.
- Misleading claims about guaranteed winnings, risk-free gambling or guaranteed financial returns.
- Cookie stuffing, forced clicks, click fraud, fake registrations, automated traffic or similar manipulation.
- Use of malware, spyware, adware or other harmful or deceptive software.
- Impersonation of Brills Affiliate, a participating brand or another person or organisation.
- Unauthorised bidding on protected brand terms where a Campaign prohibits such bidding.
- Promotion in a Territory that has not been approved for the relevant Campaign.
- Any method intended to circumvent attribution, fraud prevention, responsible marketing or compliance controls.
Brills Affiliate may request that non-compliant promotional content be amended or removed.

Tracking & Attribution
The Affiliate is responsible for using the correct Affiliate Links, campaign identifiers and tracking parameters supplied or approved for each Campaign.
Affiliate Links must not be modified in a manner that interferes with their underlying tracking functionality. Brills Affiliate cannot guarantee attribution where links, identifiers or technical implementations have been altered incorrectly by the Affiliate.
Reporting information may be made available through the Affiliate Account or another agreed reporting method. Where a potential tracking issue is identified, the Affiliate should provide relevant Campaign, link, date range and traffic source information so that the matter can be reviewed.

Commission, Payments & Taxes
Commission is calculated according to the commercial model, qualification criteria and other terms applicable to the relevant Affiliate Account or Campaign.
Payment periods, minimum payment amounts, supported payment methods, currencies, invoicing requirements and any permitted adjustments will be determined by the commercial conditions communicated to the Affiliate.
Commission may be withheld, adjusted or excluded where traffic or activity does not satisfy the applicable Campaign requirements, is attributed incorrectly, results from prohibited conduct or is reasonably identified as fraudulent or manipulated.
The Affiliate is responsible for providing complete and accurate payment information. Delays resulting from missing, incorrect or unverified payment details may postpone payment processing.
Unless expressly agreed otherwise, the Affiliate is responsible for its own taxes, duties, reporting obligations and other liabilities arising from Commission received through the programme.

Fraud, Manipulation & Traffic Quality
Brills Affiliate may review traffic and conversions for indications of fraud, manipulation, duplicate activity, automated behaviour, prohibited acquisition methods or material non-compliance with Campaign conditions.
Examples may include fake accounts, self-referrals where prohibited, coordinated account creation, artificially generated leads, incentive abuse, altered tracking, payment manipulation or other activity that does not represent genuine qualifying traffic.
Where a reasonable review indicates that activity is invalid or materially non-compliant, the affected conversion may be rejected and associated Commission may be withheld or adjusted in accordance with the applicable commercial terms.
Serious or repeated violations may result in Campaign restrictions, suspension or termination of the Affiliate Account.

Intellectual Property
Any trademarks, logos, creative assets, copy, designs, software, tracking technology and other intellectual property made available through the programme remain the property of their respective owners.
During an approved Campaign, the Affiliate receives a limited, revocable, non-exclusive and non-transferable right to use the supplied Promotional Materials solely for the purpose of carrying out authorised promotional activity.
The Affiliate may not claim ownership of those materials, register confusingly similar intellectual property, materially alter protected brand assets without approval or use the materials outside the scope of the approved Campaign.

Confidentiality & Data Protection
Non-public commercial, technical, financial, operational and account information disclosed in connection with the programme should be treated as confidential unless the information is already lawfully public or disclosure is required by law.
Confidential information should only be used for the purposes of the affiliate relationship and should not be disclosed to an unauthorised third party.
Each party is responsible for complying with data protection and privacy laws applicable to its own processing of personal information.
Where consent is required for cookies, email, SMS, behavioural advertising or another marketing technology, the Affiliate is responsible for obtaining and documenting the required consent for its own promotional activity.

Term, Suspension & Termination
These Terms apply from the time an Affiliate is accepted into the programme and continue until the affiliate relationship is terminated.
Either party may request termination in accordance with any notice requirement contained in the applicable partnership or account terms.
Brills Affiliate may suspend access to a Campaign or Affiliate Account where reasonably necessary to investigate suspected fraud, security concerns, material compliance issues or a breach of these Terms.
Participation may be terminated for a material or repeated breach, including fraudulent activity, unlawful promotion, deliberate misrepresentation or persistent failure to comply with Campaign restrictions.
Following termination, the Affiliate must stop using active Affiliate Links and Promotional Materials where requested and must cease representing itself as a current Brills Affiliate partner.
Any outstanding Commission will be handled according to the applicable commercial terms, subject to valid adjustments, unresolved reviews and other surviving obligations.

Representations, Liability & Indemnity
Each party represents that it has the authority to enter into the affiliate relationship and will comply with laws applicable to its own activities.
The Affiliate acknowledges that traffic levels, conversion rates, revenue and Commission cannot be guaranteed and may vary substantially between Campaigns and Territories.
Neither party guarantees that websites, dashboards, tracking systems or other technology will operate without interruption or error at all times.
To the maximum extent permitted by applicable law, neither party will be responsible to the other for indirect, incidental, special or consequential losses arising solely from participation in the programme, except where such limitation is prohibited by law or a separate written agreement provides otherwise.
The Affiliate remains responsible for claims, penalties or losses resulting from its own unlawful advertising, unauthorised representations or material breach of these Terms.

Force Majeure
Neither party will be considered in breach solely because of a delay or failure caused by circumstances outside its reasonable control, including major infrastructure failures, natural disasters, governmental restrictions, war, civil disturbance, widespread network interruption or similar events.
The affected party should make reasonable efforts to reduce the impact of such circumstances and resume performance when reasonably possible.

Changes to These Terms
Brills Affiliate may update these Terms where reasonably necessary to reflect changes to the programme, legal requirements, compliance standards, technology or operational practices.
The current version will be published on this page together with an updated revision date. Where a material change affects an existing commercial relationship, additional notice may be provided through an appropriate partner communication channel.
Continued participation after an updated version becomes effective may constitute acceptance of the revised Terms where permitted by applicable law and the relevant partnership agreement.

General Provisions
Entire Agreement
These Terms, together with applicable Campaign conditions, account-specific commercial terms and any separately executed agreement, constitute the framework governing the affiliate relationship.
Independent Parties
Nothing in these Terms creates an employment relationship, agency, joint venture or legal partnership between the parties. The Affiliate operates as an independent participant and has no authority to bind Brills Affiliate or any participating brand.
Assignment
The Affiliate may not transfer an Affiliate Account or assign material rights under the programme to another person without prior written approval.
Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
No Waiver
A failure or delay in exercising a contractual right does not automatically constitute a waiver of that right.
Governing Law & Disputes
The governing law, courts or alternative dispute resolution mechanism applicable to the affiliate relationship will be those specified in the Affiliate’s onboarding documentation, account-specific terms or separate written agreement.
